Refunds are handled on a case-by-case basis. If you believe you were incorrectly charged or experienced a service failure, please contact us. Hakira is not obligated to provide refunds for completed assessments, even if findings were not what was expected.
When using the Hakira platform, you may upload source code, provide repository access, or submit URLs and other materials ("User Content") for security assessment. You represent and warrant that:
You retain all ownership rights in your User Content. By submitting User Content, you grant Hakira a limited, non-exclusive, non-transferable license to access, process, and analyze your User Content solely for the purpose of providing the Services. Hakira will not use your User Content for any other purpose, including training AI models, without your explicit consent.
Hakira may retain User Content in workspaces for up to 30 days following the last assessment session, after which it may be automatically deleted. You are responsible for maintaining your own copies of all User Content.
Security assessment reports and findings generated through the Services ("Reports") are provided for your internal use. You acknowledge that:
The Services may integrate with or rely on third-party platforms and services, including but not limited to GitHub, cloud providers, and payment processors. Your use of such integrations is subject to the respective third-party terms of service. Hakira is not responsible for the availability, accuracy, or performance of third-party services.
When you connect third-party accounts (e.g., GitHub repositories), you authorize Hakira to access your data on those platforms solely to the extent necessary to provide the Services. You may revoke this access at any time through your account settings or the third-party platform.
All rights, title, and interest in and to the Services, including the Hakira platform, AI models, methodologies, tools, software, documentation, and branding, are and shall remain the exclusive property of Hakira and its licensors.
These Terms do not grant you any right to use Hakira's trademarks, logos, or brand features without our prior written consent. Nothing in these Terms transfers any intellectual property rights to you, except the limited license to use the Services as described herein.
Hakira treats all User Content and assessment findings as confidential. We will not disclose your User Content, Reports, or findings to third parties except:
You agree to keep confidential any non-public information about Hakira's proprietary methodologies, tools, or techniques that may be disclosed to you during the course of the Services.
Our collection, use, and processing of personal data is governed by our Privacy Notice, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Notice. If you are submitting personal data of third parties (e.g., as part of a codebase), you represent that you have the necessary authority and consent to do so.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HAKIRA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, HAKIRA DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAKIRA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
HAKIRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO HAKIRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Without limiting the above, Hakira shall not be liable for any security breach, data loss, or exploitation of vulnerabilities in your systems, whether or not such vulnerabilities were identified or missed during an assessment performed through the Services.
You agree to indemnify, defend, and hold harmless Hakira and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any User Content you submit; or (e) your use of assessment findings or Reports in a manner not authorized by these Terms.
You may stop using the Services and close your account at any time. Hakira may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms.
Upon termination: (a) your right to use the Services will immediately cease; (b) any outstanding credits will be forfeited unless a refund is required by applicable law; (c) Hakira may delete your account data, workspaces, and associated content in accordance with our data retention policies. Sections 7, 9, 10, 12, 13, 14, and 17 of these Terms shall survive termination.
Hakira reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Website and updating the "Last updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.
These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of laws principles.
Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the parties are unable to resolve the dispute within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction, as permitted by applicable law.
